Terms of Service

1. Agreement to these terms
These Terms of Service (“Terms”) govern your use of the Phlo app and website, operated by Spruce Technologies Pty Ltd (“Spruce”, “we”, “us”). By creating an account or using Phlo, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use Phlo.
2. Accounts and eligibility
You must be at least 13 years old to use Phlo, and old enough to enter a binding contract in your country (or have your parent or guardian’s consent). You agree to provide accurate information, keep your login credentials secure, and you are responsible for activity that happens under your account.
3. Subscriptions, billing, and refunds
Phlo offers a free tier and optional paid subscriptions. Paid subscriptions are billed through your Apple App Store or Google Play account and renew automatically unless you cancel at least 24 hours before the end of the current period. You can manage or cancel a subscription in your App Store or Google Play account settings.
Refunds are handled according to the policies of the Apple App Store or Google Play. Business payment features (such as invoicing and Tap to Pay) are processed by Stripe and are subject to Stripe’s terms.
4. Your content
You retain ownership of the content you create in Phlo, such as events, tasks, habits, messages, and files. You grant us a limited licence to host, store, process, and display that content solely to operate and provide the service — including showing it to the people you choose to share it with. You are responsible for your content and must have the rights to share it.
5. Acceptable use
When using Phlo, you agree not to:
- Use the service for unlawful, harmful, infringing, or abusive purposes.
- Upload malware, or attempt to disrupt, overload, or gain unauthorised access to the service.
- Collect or use other people’s information without their consent.
- Misrepresent your identity or impersonate others.
6. Third-party services
Phlo integrates third-party services, including Apple, Google, Stripe, RevenueCat, weather data providers, and maps. Your use of those services may be subject to their own terms, and we are not responsible for them.
7. Disclaimers and liability
Phlo is provided on an “as is” and “as available” basis. To the extent permitted by law, we exclude implied warranties and limit our liability for any loss arising from your use of the service.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you have under the Australian Consumer Law or the New Zealand Consumer Guarantees Act that cannot lawfully be excluded.
8. Termination
You can stop using Phlo and delete your account at any time (Profile → Delete Account, or phloapp.com/delete-account). We may suspend or terminate accounts that breach these Terms, or where necessary for security or legal reasons.
9. Governing law
These Terms are governed by the laws of Australia. If you are in New Zealand, you retain the mandatory consumer rights available to you under New Zealand law. Disputes will be subject to the non-exclusive jurisdiction of the courts of Australia.
10. Changes to these terms
We may update these Terms from time to time. We will post the updated version with a new date, and your continued use of Phlo after changes take effect means you accept the updated Terms.
